Disclosure of Information - Transfer of Material

Non-Disclosure Agreement (NDA)

You want to receive, provide or exchange information that needs to be kept confidential (e.g. to safeguard patent filing, to keep research confidential, to enter into discussions with an industrial partner, ...). The appropriate agreement to be concluded is a Non-Disclosure Agreement.

  • If both parties are providing confidential information: use the Mutual Non-Disclosure Agreement . Fill out the document accurately, andhave it signed by the counterparty first and afterwards by the UGent budget holder. Send the original signed agreement or a scan to TechTransfer () for further processing and signature by the UGent legal representative.
  • For all other cases (e.g. you, or the counterparty, want to make changes to the Mutual Non-Disclosure Agreement, you need a unilateral NDA or you receive a draft from your counterpart) or for any questions, please contact the legal team at or 09/264.30.30.
Important: for an NDA/CDA to be valid, it must be signed by the UGent legal representative (only via TechTransfer).

Material Transfer Agreement (MTA)

You want to transfer proprietary material to a third party for research purposes: use a Material Transfer Agreement. 

  • If you want to transfer proprietary biological material of UGent: use the Material Transfer Agreement. Fill out the document accurately, have it signed by the counterparty first and afterwards by the UGent budget holder; subsequently send the original signed agreement or a scan thereof to TechTransfer () for further processing and signatures.
  • For all other cases (e.g. if you or the counterparty, want to make changes to the MTA, you receive a MTA from a third party, you want to receive material form a third party who has not an own MTA template, or you want to transfer non biological material) or for any questions, please contact the legal team at or 09/264.30.30

 

Important: for an MTA to be valid, it must be signed by the UGent legal representative (only via TechTransfer).
In order to save time, be the first to propose the UGent NDA or MTA to your counterpart instead of waiting for their contract template.
